Terms and Conditions

1. Acceptance of Terms

By accessing and using DEX ("the Platform"), a product of Bombay Blokes Digital Solutions LLP, you agree to be bound by these Terms and Conditions and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this platform.

2. Service Description

DEX is a social media content approval platform that enables:

  • Agencies to create and organize social media content in decks
  • Sharing of content decks with clients through secure, unique links
  • Clients to review, approve (including "super approve"), or request edits on content without requiring an account
  • Submission and management of feedback between agencies and clients
  • Management of social media content calendars and approval workflows

3. User Accounts and Subscriptions

Access to DEX's platform and features may require subscription to a paid plan:

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • DEX offers different subscription tiers with varying features and limitations
  • Payment terms are specified at the time of subscription and may be modified with notice

4. Content Approval System

DEX facilitates the approval of social media content between agencies and clients. By using this platform:

  • Clients may review, approve, super approve, or provide feedback on content without requiring an account or login through secure deck links
  • Agencies are responsible for the content they upload and share through the platform
  • Users acknowledge that content approvals and feedback conducted through the platform may be legally binding
  • DEX is not responsible for the content created, shared, or approved by its users
  • Content approval statuses (Pending, Approved, Needs Edits) are recorded and maintained for record-keeping purposes

5. Payment and Billing

For paid subscriptions to DEX:

  • All payments are processed securely through our payment gateway partners
  • Subscription fees are billed in advance according to your selected billing cycle
  • You authorize us to charge the payment method provided for all applicable fees
  • Prices are subject to change with notice before the start of a new billing period
  • Failure to make timely payments may result in service interruption or account suspension
  • All fees are exclusive of taxes, which may be added where applicable

6. User License

Permission is granted to access and use DEX's platform for creating, sharing, reviewing, and approving social media content. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify or copy the platform's code, design, or functionality
  • Use the platform for any unauthorized commercial purpose
  • Attempt to decompile or reverse engineer any software contained on DEX
  • Remove any copyright or other proprietary notations from the platform
  • Transfer your account access to another person or entity without written permission
  • Use the platform in any manner that could damage, disable, or impair the service

7. Intellectual Property

Regarding intellectual property rights:

  • DEX and its original content, features, and functionality are protected by international copyright, trademark, and other intellectual property laws.
  • Users retain ownership of content they upload to the platform
  • By uploading content, users grant DEX a limited license to store, display, and process the content solely for the purpose of providing the service
  • DEX does not claim ownership rights over user-uploaded content

8. Disclaimer

The services provided by DEX are offered on an 'as is' basis. DEX makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

9. Limitations

In no event shall DEX or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the platform, even if DEX or a DEX authorized representative has been notified orally or in writing of the possibility of such damage.

10. Accuracy of Materials

The materials appearing on DEX's platform could include technical, typographical, or photographic errors. DEX does not warrant that any of the materials on its platform are accurate, complete, or current. DEX may make changes to the materials contained on its platform at any time without notice.

11. Links

DEX has not reviewed all of the sites linked to its platform and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by DEX of the site. Use of any such linked website is at the user's own risk.

12. Modifications

DEX may revise these terms of service for its platform at any time without notice. By using this platform, you are agreeing to be bound by the then current version of these terms of service.

13. Data Security and Privacy

Your use of DEX is also governed by our Privacy Policy, which outlines how we collect, use, store, and protect your personal information and content data. We implement reasonable security measures to protect your data, but no method of transmission or storage is 100% secure. You are responsible for maintaining the security of your account credentials.

14. Governing Law

These terms and conditions are governed by and construed in accordance with the laws applicable in the jurisdiction of Bombay Blokes' principal place of business, and you irrevocably submit to the exclusive jurisdiction of the courts in that location.
